Shareholders to elect a new Board of Directors

After Branislav Branković’s resignation, the Board of Directors of the Port of Bar will have to convene the extraordinary shareholders’ meeting in order to formally dismiss Branković and elect the new Board of Directors in the Port of Bar, based on the Law on Commercial Enterprise.

Pobjeda, a daily, on Thursday announced that Branković resigned from the Board, as well as that minority shareholders filed a criminal charge against Zarija Franović, the company’s executive director.

When a member of the Board of Directors resigns from his/her position, the Board itself has to convene an extraordinary meeting of shareholders within 14 days. The information on convening the shareholders’ meeting shall be submitted within 30 days prior to a proposed date.

The Law stipulates that only the Shareholders’ Assembly has the right to elect and dismiss members of the Board of Directors, and apart from Branković, its members are: Anđelko Lojpur (president), Borislav Lalević, Aleksandar Jovović and Sead Delalić.
